https://vendex.ch is a service of VENDEX AG and will hereinafter be referred to as "we," "us," etc.

Service

We are committed to delivering quality products to our customers. Our priority is the satisfaction of our clients, and our goal is to provide excellent service.

Hidden defects must be reported immediately upon discovery by email to b2b@vendex.ch with corresponding images. Naturally, the problem can also be reported in person during regular opening hours at the store.

Products

We always strive to provide accurate product information (e.g., performance, size, weight, etc.). However, errors may occur due to manual entry.

Privacy

We only share personal customer data with third parties when necessary to execute or pay for an order (e.g., to the post for delivery, to a collection agency in case of non-payment, etc.), for customer information, or for surveys. Our partners delete customer personal data as soon as they are no longer needed and after the legally required maximum retention period. All personal data is treated confidentially.

Privacy Google Analytics Statement

The website www.vendex.ch uses Google Analytics, a web analytics service of Google Inc. ("Google"). Google Analytics uses "cookies," text files that are stored on your computer and allow an analysis of the website usage. The information generated by the cookie about your use of this website (including your IP address) is transmitted to a Google server in the USA and stored there. Google will use this information to evaluate your use of the website, to compile reports on website activity for website operators, and to provide other services related to website and internet use. Google may also transfer this information to third parties if required by law or where third parties process the information on Google's behalf. Google will not associate your IP address with other Google data. Order

Minimum Purchase Value

There is no minimum purchase value in our online shop or in stores.

VAT

VAT is excluded from all prices for traders, and dealer prices are always shown net.

Prices

The product prices listed before submitting the online order (on the "Overview" step) are binding. Shipping and packaging costs are borne by the reseller.

Shipping Costs

Shipping costs vary depending on purchase value and weight (goods value excluding shipping and credits) and will be displayed during checkout.

Products

vendex.ch reserves the right to limit the delivery quantities for certain products and to withhold delivery.

If a product is unavailable at the time of delivery, it will not be invoiced or shipped later.

Age for Purchase

The purchase of tobacco products is prohibited in Switzerland for persons under 18 years of age from mid-2023. vendex.ch voluntarily and without prejudice, applies the legal minimum age of 18+ for tobacco products since 2017. By purchasing products, the customer confirms being 18 years or older.

Order Confirmation

All orders are confirmed by us. We will send the customer an order confirmation to the provided email address. If the email address was incorrectly entered by the customer, the confirmation is still valid.

Payment through one of the offered payment methods is considered confirmation of the order by the customer.

The contract is concluded by the customer's order and our electronic acceptance of that order. After confirmation by us, the customer cannot cancel the order.

Ownership

The products remain the property of VENDEX AG until full payment is made.

Payment

Payment Methods

In our stores, payments can be made with all common cards such as American Express, Mastercard, VISA, EC, TWINT, and cash.

Online, current electronic payment methods can also be used, and payments can be made in advance or on account.

Creditworthiness

We reserve the right to make the delivery of orders contingent upon a credit check. By placing an order, customers consent to a credit check.

We also reserve the right to make delivery contingent upon prepayment or the provision of security.

We may cancel or suspend an order if the customer is not creditworthy, has outstanding invoices, or if there is reasonable suspicion of fraudulent intent.

Refunds, Credits, Vouchers

If the customer is entitled to refunds or other credits, they will be credited to the customer account and are usable for purchases within the statutory period. After this period, the credit expires. The purchase of vouchers is only possible without customer discounts.

Our vouchers are not for sale or auction. Only one voucher can be used per order.

Refusal of Order Acceptance

In case of refusal of acceptance of the order, the delivery will be returned to us at our expense. The costs incurred will be fully deducted from the customer’s credit balance, including shipping, any bank fees for returns, and an administrative fee of 10%, up to a maximum of CHF 30.-, payable to VENDEX AG.

Delivery Area

Deliveries are limited to Switzerland, Liechtenstein, and EU countries.

After order confirmation by us, the products will be delivered to the address provided by the customer at the time of order.

Customs / VAT / Tracking

Each customer is responsible for checking the current laws in their country before ordering. VENDEX AG cannot verify the current legal situation for each order and delivery country and is not responsible if customs delays, holds, or destroys the delivery. Our products are 100% sellable in Switzerland without any restrictions. Shipping declarations are always filled out correctly, and customer requests cannot be accommodated.

For orders outside Switzerland, customers are responsible for VAT. Typically, customs will charge the customers. VENDEX AG cannot provide information on the processing time by customs or the charges. The tracking number can be used for inquiries. If no delivery is received after more than 4 weeks, we can initiate an investigation through the postal service upon request. This is only possible if the order was placed with a tracking number. No investigation is possible for services without tracking.

Delivery Times

Orders are processed on weekdays and handed over to the Swiss Post for delivery. Delivery time corresponds to the chosen shipping method (Economy, Priority, DHL Express).

Delays are possible, especially during peak periods with unusually high order volumes, and the customer cannot claim damages.

The customer assumes responsibility for the delivered products, even if they are left in front of their door, at their business, or with a neighbor. We are not responsible for lost packages.

Pickup of Order

Pickup Location

Orders can be picked up at our stores during published opening hours after the customer has been notified that the order is ready for pickup.

Order Confirmation

After submitting the order, the customer will automatically receive an order confirmation by email. This serves as a pickup voucher and must either be printed or shown on the customer's mobile phone. Without this voucher, the order cannot be handed over. The customer will be asked to confirm their pickup with their signature. We are not liable for damages arising from the loss or theft of the pickup voucher.

Returns / Right of Withdrawal

For hygiene reasons, the following products are excluded from return and the right of withdrawal:

• All liquids and pre-filled pods, even if still sealed. You surely want to receive 100% guaranteed quality liquids.
• Vaporizers and coils, considered consumables.
• Any accessories such as seals, glasses, etc., used in vaporizer coils.

For returns or the use of the right of withdrawal, a return request must be made via the customer area at https://vendex.ch. Please do not send goods without prior contact.

The return shipping costs are borne by the customer and will not be refunded. The products must be unopened and in their original packaging. Returns are only possible within 10 working days after purchase.

In case of returns, administrative processing fees of up to 25% of the purchase value may be deducted. The refund will be made via the same payment method used. For bank transfer payments, the corresponding bank details must be provided.

Returns in store must be initiated with a fully completed form.

Warranty

We offer a 3-month warranty on all products and a 24-month manufacturer warranty.

Exclusions include:

• Batteries and accumulators after successful commissioning.
• Devices that have been manipulated (e.g., firmware update).
• Devices damaged by liquids.
• Vaporizers.
• Coils.
• Seals.
• Products without receipt/proof of purchase.

If no warranty claim exists, the buyer bears the costs for any error analysis.

During repairs, there is no entitlement to replacement devices/parts.

Further warranty claims such as rescission (cancellation of the purchase contract due to defects) and reduction are excluded.

Transferability of Customer Account

The customer account at https://vendex.ch can only be used by its owner. If multiple users are suspected, we may delete the discount level for the respective customer account without notice. There is no entitlement to a discount level.

Outstanding Payments

If the customer does not pay for an order on time, we reserve the right to block all future orders until the outstanding amount is settled. We will use all legal means to collect any outstanding debts, regardless of the amount.

Liability

VENDEX AG is only liable for damages caused intentionally or through gross negligence. Liability for indirect damages or damages caused by negligence is excluded. VENDEX AG is not liable for any consequential damages arising from the use of defective parts. Liability for damage due to the violation of product safety regulations is excluded to the maximum extent allowed by law.

Severability Clause

The invalidity or unenforceability of individual provisions of these terms and conditions does not affect the legal validity of the remaining provisions. The invalid provision will be replaced by one that is legally and economically closest to the original unenforceable provision. The same applies if there are gaps in this agreement.

Applicable Law and Jurisdiction

Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The jurisdiction is 8610 Uster, Switzerland.

Changes / Additions

VENDEX AG expressly reserves the right to adapt or change these terms and conditions at any time to suit the circumstances and apply them immediately.
